Item 1.01 Entry into a Material Definitive Agreement

On July 13, 2012, e Plus Technology, inc. (the “Company”), a wholly owned subsidiary of e Plus inc., entered into a letter with GE Commercial Distribution Finance (“GECDF”) in connection with its credit facility. The letter agreement provides for a temporary increase in the line of credit to $175 million, however, the accounts receivable facility limit will remain at $30 million. The original agreements were entered into on August 31, 2000, and have been amended over time. The temporary overline terminates on August 12, 2012.
