Re: EonX Technologies Inc

We refer to the non-offering prospectus of EonX Technologies Inc dated May 12 2021 (“the prospectus”).

We consent to being named in the Prospectus and to the use through incorporation by reference in the Prospectus of our audit and review reports dated May 12 2021 to the shareholders of EonX Technologies Inc on the following financial statements:

• The consolidated statement of financial position as at June 30 2019, June 30 2020 and December 31 2020

• The consolidated statement of profit or loss and other comprehensive income, the statement of changes in equity and the statement of cash flows for the years ending June 30 2019 and June 30 2020 and a summary of significant accounting policies and other explanatory information.

• The consolidated statement of profit or loss and other comprehensive income, the statement of changes in equity and the statement of cash flows for the period ending December 31 2020 and a summary of significant accounting policies and other explanatory information.

We report that we have read the Prospectus and all information specifically incorporated by reference therein and have no reason to believe that there are any misrepresentations in the information contained therein that are derived from the financial statements upon which we have reported or that are within our knowledge as a result of our audit of the financial statements.

We conducted our audit in accordance with International Standards on Auditing (“ISA”). Our responsibilities under those standards are further described in the Auditor’s Responsibilities for the audit of the Financial Report section of our report. We are independent of EonX Services Pty Ltd. and EonX Technologies Inc. in accordance with the auditor independence requirements of the ethical requirement of the Accounting Professional and Ethical Standards Board’s APES 110 Code of Ethics for Professional Accountants (the Code”) that are relevant to our audit of the financial report in Australia. We have also fulfilled our other ethical responsibilities in accordance with the code.
