E.ON’s 2001 Financial Statements Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– E.ON AG’s Supervisory Board today approved the Company’s 2001 Financial Statements. As expected, E.ON Group sales for 2001 were down year-on-year, declining 10 percent to 79,664 million euros (2000: 88,858 million euros) due to the disposal of non-core assets. Internal operating profit rose to 3,553 million euros-a 45 percent increase from the previous year’s record high of 2,445 million euros. E.ON’s core Energy Division increased its internal operating profit 14 percent to 1,971 million euros from 1,725 euros in the previous year. As anticipated, Group net income (after taxes and minority interests) was down year-on-year, declining 44 percent to 2,048 million euros (2000: 3,678 million euros). The prior-year figure included exceptionally high book gains from the disposal of the Company’s shareholdings in E-Plus and Cablecom. At the Annual Shareholders Meeting on May 28, 2002, the Board of Management and Supervisory Board will propose to pay a cash dividend of 1.60 eurosper entitled share-a 19 percent increase from the prior-year dividend of 1.35 euros. Note: MEMC and VAW aluminium were divested in the 2001 financial year. In accordance with U.S. GAAP, MEMC and VAW aluminium’s results are not included in Group sales and Group internal operating profit for 2001 and instead are shown separately under “Discontinued operations.” The prior-year figures were adjusted accordingly.
