Effective December 31, 2009, Mr. Steward and his spouse sold 98% of the membership interests in the LLC for an amount to be determined based on an appraisal of the assets of the LLC, which is not yet available. Neither the reporting person nor his spouse has any management authority with respect to the LLC, and the reporting person disclaims beneficial ownership of the shares of common stock of EOG Resources, Inc. held by the LLC, except to the extent of his pecuniary interest therein.
