Item 2.01 Completion of Acquisition or Disposition of Assets

On December 29, 2005, Harsco Corporation (the Company) completed the acquisition of the Northern Hemisphere steel mill services operations of Brambles Industrial Services, a unit of Sydney, Australia-based Brambles Industries Limited. The Company paid GBP133 million (approximately $229 million) plus a working capital adjustment for the business. A copy of the press release announcing the transaction is attached hereto and incorporated by reference herein as Exhibit 99.1.
