Item 2.02. Results of Operations and Financial Condition.

On February 10, 2014, China Green Agriculture, Inc. (the “Company”) issued a press release announcing (i) certain financial results for the fiscal quarter ended December 31, 2013; (ii) guidance for the third quarter of fiscal year of 2014 and updating the guidance for the fiscal year of 2014; and (iii) a conference call to be held by the Company on Monday, February 10 at 7:30 a.m. EST to discuss the results of operations for the quarter ended December 31, 2013. A copy of the press release is attached hereto as Exhibit 99.1.
