Item 2.02. Results of Operations and Financial Condition.

On November 20, 2012, China Green Agriculture, Inc. (the “Company”) issued a press release announcing (i) certain financial results for the fiscal quarter ended September 30, 2012; (ii) guidance for the second quarter of fiscal year of 2013 and reaffirming the guidance for the fiscal year of 2013; and (iii) a conference call to be held by the Company on Tuesday, November 20, 2012 at 8:00 a.m. EST to discuss the results of operations for the quarter ended September 30, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
