Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On October 13, 2011, the Board of Directors (the “Board”) of China Green Agriculture, Inc. (the “Company”) adopted Amended and Restated Bylaws, effective immediately upon their adoption. The Amended and Restated Bylaws reduce the quorum requirement for a meeting of stockholders from a majority to one-third (1/3) of the shares entitled to vote thereat present in person or by proxy.

The foregoing description is not complete and is qualified in its entirety by reference to the Amended and Restated Bylaws, which are attached hereto as Exhibit 3.1 and incorporated herein by reference into this Item 5.03.
