F1: On April 4, 2022, the reporting person purchased 2,286,857 shares of the Issuer's Common Stock (the "Shares") directly from the Issuer at $15 per share. The purchase was made pursuant to a Share Purchase Agreement dated November 23, 2021 (the "SPA") in transactions exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"), in reliance on an exemption provided by Rule 903 of Regulation S and/or Section 4(a)(2) of the Securities Act.

F2: On April 12, 2023, the reporting person deposited the Shares to Django Creek Trust for which the reporting person and his son, Mr. Pan Zhibiao who serves as the Issuer's Co-Chief Executive Officer are the sole trustees.
