F1: The 3,156,808 shares were initially issued to the name of Yinshing David To, and placed in an escrow account pursuant to the Make Good Escrow Agreement by and among the Issuer, Mr. To, the Investors and the escrow agent named therein, dated December 26, 2007 (the "Make Good Escrow Agreement"). Mr. To, under the Make Good Escrow Agreement, agreed to forsake his dispositive right yet still retain the voting right. On May 28, 2009, Mr. To executed a proxy to convey to the Reporting Person the right to vote and to direct the vote with respect to such 3,156,808 shares.

F2: Among the 7,897,710 shares of Common Stock directly owned by the Reporting Person, the Reporting Person retains the rights to vote and to dispose with respect to 4,740,902 shares. The Reporting Person only has the right to vote with respect to the remaining 3,156,808 shares that are placed in an escrow account.

F3: A total of 1,794,774 shares of Common Stock are indirectly owned by the Reporting Person, with 897,387 shares retained by Hua Zhang, the wife of the Reporting Person, and another 897,387 shares retained by Zhuoyu Li, the son of the Reporting Person. The inclusion of 1,794,774 shares in this Form 4 shall not be deemed as an admission that the Reporting Person is, for purposes of Section 16 of the Securities Exchange Act or otherwise, the beneficial owner of such shares.
