Eni avvia il nuovo programma di buyback

San Donato Milanese (Milano), 23 maggio 2024 - Eni comunica che, a seguito dell'autorizzazione dell'Assemblea degli Azionisti del 15 maggio 2024, nei prossimi giorni sarà avviata la prima tranche del nuovo programma di acquisto di azioni proprie (la "Prima Tranche").

La Prima Tranche riguarderà fino a un massimo di 6,4 milioni di azioni Eni (circa lo 0,2% del capitale sociale), per un esborso fino a un massimo di 150 milioni di euro e con la finalità di costituire la provvista azionaria a servizio della realizzazione del Piano di Azionariato Diffuso 2024-2026, approvato dall'Assemblea degli Azionisti del 15 maggio 2024.

Gli acquisti saranno eseguiti sull'Euronext Milan tramite un intermediario abilitato, che agirà in piena indipendenza anche in relazione alla tempistica delle operazioni, e formeranno oggetto di informativa al mercato nei termini e con le modalità di cui alla normativa vigente.

Come comunicato il 24 aprile 2024 in occasione della presentazione dei risultati del primo trimestre 2024, Eni conferma che il programma di buyback 2024, da realizzarsi entro aprile 2025, ammonterà complessivamente a 1,6 miliardi di euro. Tale ammontare potrà essere incrementato, sulla base di eventuali upside, fino ad un massimo complessivo di 3,5 miliardi di euro.

A valle quindi della Prima Tranche saranno avviate ulteriori fasi di acquisti destinate a completare il piano di buyback complessivo previsto.

Eni launches the new share buyback program

San Donato Milanese (Milan), 23 May 2024 - Eni announces that, following the authorization granted by the Shareholders' Meeting held on 15 May 2024, the first tranche of the new share buyback program (the "First Tranche ") will be launched in the next days.

The First Tranche will concern up to a maximum of 6.4 million of Eni's shares (approximately 0.2% of share capital), up to a total maximum of €150 million to be used for the implementation of the 2024-2026 Employee Stock Ownership Plan.

The purchases will be executed on the Euronext Milan through an authorized agent, who will act independently, also in relation to the timing of transactions and will be disclosed to the market in accordance with the terms and conditions set out in the laws and regulations in force.

As announced on 24th April 2024 in the context of the presentation of the first quarter 2024 results, Eni confirms that the 2024 share buyback program, to be executed by April 2025, will have a total amount of €1.6 billion. This amount may be increased up to a total maximum of €3.5 billion, in case of upside scenarios.

Therefore, after the First Tranche, further phases of purchases will be launched to complete the overall planned buyback program.
