Eni: depositate le liste degli investitori istituzionali per il rinnovo degli organi sociali

Roma, 18 aprile 2020 - Si informa che nella serata di ieri sono state depositate liste per il rinnovo degli organi sociali di Eni da parte di un raggruppamento di azionisti formato da società di gestione del risparmio e da altri investitori¹ , titolari complessivamente dell'1,34% circa del capitale di Eni SpA, in vista del rinnovo del Consiglio di Amministrazione e del Collegio Sindacale all'ordine del giorno dell'Assemblea convocata il 13 maggio 2020, in unica convocazione.

La lista dei candidati alla carica di Amministratore è così formata:

• 1. Karina Audrey Litvack
• 2. Pietro Angelo Mario Antonio Guindani
• 3. Raphael Louis L. Vermeir

La lista dei candidati alla carica di Sindaco è così formata:

• Sezione II Sindaci supplenti
• 1. Claudia Mezzabotta

Tutti i candidati hanno attestato di essere in possesso dei requisiti di indipendenza previsti dalla normativa vigente, dallo statuto sociale e dal Codice di Autodisciplina delle società quotate.

La candidata Rosalba Casiraghi, indicata per prima nella Sezione della lista relativa ai Sindaci Effettivi, è proposta quale Presidente del Collegio Sindacale, ai sensi di legge.

Le liste, unitamente alla relativa documentazione a corredo, saranno messe a disposizione del pubblico presso la sede della società in Roma, Piazzale Enrico Mattei, 1, nell'apposita sezione del sito internet della Società (www.eni.com, sezione Governance/Assemblea degli Azionisti 2020), presso Borsa Italiana e sul meccanismo di stoccaggio centralizzato autorizzato da Consob denominato , consultabile all'indirizzo , nei termini di legge. Eni: filed the slates of Institutional Investors for the renewal of the corporate bodies

Rome, 18 April 2020 - Eni informs that yesterday evening a group of shareholders composed of asset management companies and other Institutional Investors(1) , holders of a total of 1.34% of the share capital of Eni SpA, filed the slates for the renewal of the corporate bodies of Eni, in view of the renewal of the Board of Directors and of the Board of Statutory Auditors scheduled on the agenda of the Shareholders' Meeting called on May 13, 2020, on single call.

The slate of candidates for the office of Director is composed of the following candidates:

• 1. Karina Audrey Litvack
• 2. Pietro Angelo Mario Guindani
• 3. Raphael Louis L. Vermeir

The slate of candidates for the office of Statutory Auditor is composed of the following candidates:

Section I - Standing Statutory Auditors

• Section II Alternate Statutory Auditors
• 1. Claudia Mezzabotta

All the candidates declared to hold the independence requirements provided for by current legislation, the company by-laws and the Corporate Governance Code for listed companies.

The candidate Rosalba Casiraghi, indicated first in the Section of the slate of Standing Statutory Auditors, is proposed as Chairman of the Board of Statutory Auditors.
