Şirketimizin 04.06.2025 tarihli Yönetim Kurulu toplantısında;

Şirketimizin Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları (TMS/TFRS)'na uygun olarak hazırlanan 01.01.2024-31.12.2024 hesap dönemine ait finansal tablolarında 2.825.563.304 TL tutarında ana ortaklığa ait Net Dönem Kârı olup, bu tutardan TTK'nın 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan ve 2024 yılında yapılan "Bağışlar" ilave edildikten sonra, 2.809.350.043 TL Net Dağıtılabilir Dönem Kârı oluştuğu; Vergi Usul Kanunu (VUK) hükümlerine uygun olarak düzenlenmiş finansal tablolarında ise Net Dönem Kârı 354.091.346 TL olup, bu tutardan TTK'nın 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan sonra 336.386.779 TL Net Dağıtılabilir Dönem Kârı olduğu görülmüştür.

• 01.01.2024-31.12.2024 hesap dönemine ilişkin olarak, Şirket Esas Sözleşmemize ve Türk Ticaret Kanunu'nun 519. maddesi uyarınca ayrılması gereken tüm genel kanuni yedek akçelerinin ayrılmasına ve pay sahiplerine 1 TL nominal değerli beher pay için net 0,00944 TL nakit kâr payına tekabül eden brüt 100.000.000 TL (Yüzmilyon Türk Lirası) tutarında kâr payı dağıtılmasına,

• Geriye kalan tutarın tamamının Olağanüstü Yedek Akçe olarak ayrılmasına,

• Kâr payı ödeme tarihinin 11 Ağustos 2025 olarak belirlenmesine,

• Bu hususların 2024 yılı Olağan Genel Kurul toplantısında pay sahiplerinin onayına sunulmasına karar verilmiştir.
