Additional Explanations

Şirketimizin 11.06.2024 tarihli Yönetim Kurulu toplantısında 04.06.2024 tarihli ve 2024/09 sayılı "Kâr Payı Dağıtımı"na ilişkin Yönetim Kurulu kararının yatırımcılarımızdan gelen talep ve öneriler kapsamında aşağıdaki gibi revize edilmesine karar verilmiştir.

TFRS'ye uygun olarak hazırlanan 01.01.2023-31.12.2023 hesap dönemine ait finansal tablolarında 2.214.131.264 TL tutarında ana ortaklığa ait Net Dönem Kârı olup, bu tutardan TTK'nın 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan ve 2023 yılında yapılan "Bağışlar" ilave edildikten sonra, 2.205.191.460 TL Net Dağıtılabilir Dönem Kârı oluştuğu; yasal kayıtlara göre düzenlenmiş finansal tablolarında ise Net Dönem Kârı 784.305.429 TL olup bu tutardan TTK'nın 519. maddesi uyarınca Genel Kanuni Yedek Akçe ayrıldıktan sonra 773.891.272 TL Net Dağıtılabilir Dönem Kârı olduğu görülmüştür.Bu kapsamda,

• 01.01.2023-31.12.2023 hesap dönemine ilişkin olarak, Şirket Esas Sözleşmemize ve Türk Ticaret Kanunu'nun 519. maddesi uyarınca ayrılması gereken tüm genel kanuni yedek akçelerinin ayrılmasına ve pay sahiplerine 1 TL nominal değerli beher pay için net 0,31034 TL nakit kâr payına tekabül eden brüt 50.000.000 TL (Ellimilyon Türk Lirası) tutarında kâr payı dağıtılmasına,

• Geriye kalan tutarın tamamının Olağanüstü Yedek Akçe olarak ayrılmasına,

• Kâr payı ödeme tarihinin 25.07.2024 olarak belirlenmesine,

• Bu hususların 2023 yılı Olağan Genel Kurul toplantısında pay sahiplerinin onayına sunulmasına karar verilmiştir.
