Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Appointment of Corporate Controller and Principal Accounting Officer

On July 27, 2018, Actuant Corporation (the “Company”) appointed Bryan R. Johnson as its new Corporate Controller and Principal Accounting Officer. Mr. Johnson is 42 years old and joined the Company in September 2017 as Vice President Finance – Engineered Solutions Segment. Prior to joining the Company, Mr. Johnson worked at Joy Global, Inc. (subsequently Komatsu Mining) for 11 years and PricewaterhouseCoopers LLP for seven years in various accounting and finance positions of increasing responsibility. Item 8.01 Other Events.

On July 27, 2018, the Company announced that its Board of Directors approved a cash dividend on the Company’s common stock. The Board declared an annual dividend of $0.04 per common share payable on October 15, 2018 to shareholders of record at the close of business on September 28, 2018.

A copy of the press release announcing the dividend is attached at Exhibit 99.1 to this Current Report on Form 8-K.
