ASX ANNOUNCEMENT
APPENDIX 3Z – SUSAN MCINTOSH
27 October 2021
Enero Group Limited (ASX:EGG) (Enero or Company ) attaches an Appendix 3Z for Susan McIntosh.
As announced on 21 October 2021, Susan McIntosh retired as a Non-Executive Director of the Company following the conclusion of the 2021 Annual General Meeting (held on 21 October 2021). Susan McIntosh was a Director of the Company between 2 June 2000 and 21 October 2021.
In preparing the attached Appendix 3Z, it has come to the attention of the Company that due to a historical administrative oversight, there is a discrepancy in the final number of shares held by Ms McIntosh as outlined in the Appendix 3Z compared to the last notice lodged for Ms McIntosh (an Appendix 3Y lodged on 28 August 2006).
The Appendix 3Y lodged on 28 August 2006 identified the following securities held by Ms McIntosh:
• Indirect
Susan Therese McIntosh & Peter McIntosh atf Supaa Superannuation Fund – 164,444 ordinary shares
• Direct
Susan Therese McIntosh – 80,000 ordinary shares
As set out in the attached Appendix 3Z, Ms McIntosh currently has a relevant interest in 122,223 fully paid ordinary shares (held by P&S McIntosh as trustee for the Supaa Superannuation Fund).
The historical oversight is as follows:
-
In 2008, 2009 and 2010, Ms McIntosh participated in a rights issue offered by the Company and received a relevant interest in a further 1,955,562 fully paid ordinary shares.
-
In 2011, there was a share consolidation and Ms McIntosh’s holding was reduced from 2,200,006 shares to 122,223 shares.
No Appendix 3Y was lodged in respect of these transactions.
The Company is satisfied that is currently has the necessary reporting and notification practices in place to ensure compliance with its disclosure obligations under ASX Listing Rule 3.19A and 3.19B. The Company believes that its current practices are adequate and confirms this was an isolated error.
This announcement was authorised for release by the Enero Group Company Secretary.
