Photon Group Limited – Confirmation of Despatch of Offer Document
Photon Group Limited (ASX Code: PGA) confirms that the Offer Document and accompanying Entitlement and Acceptance Form in respect of the 1 for 2 non-renounceable rights issue, announced on 17 August 2009, were today despatched to eligible Photon shareholders.
A copy of the letter sent today to ineligible Photon shareholders is attached.

Dear Shareholder
Photon Group Limited (Photon) – Notification to Ineligible Shareholders
This letter is to notify you that on 17 August 2009 Photon announced that it would undertake an institutional placement ( Placement ) and a 1 for 2 non-renounceable rights issue of ordinary shares in Photon ( Rights Issue ).
The proceeds of the Placement and Rights Issue will be used by Photon to reduce the amount of its outstanding debt.
The Rights Issue is only being extended to Photon shareholders with a registered address in Australia or New Zealand as at 7.00p.m. (AEST) on 25 August 2009 (the Record Date ) and certain eligible institutional investors, and unless Photon determines otherwise, only those Photon shareholder will be entitled to participate in the Rights Issue. This decision has been made having regard to the number of Photon shareholders with a registered address outside Australia or New Zealand, the number of shares that would otherwise be offered to such shareholders and the costs of complying with the legal and regulatory requirements of foreign jurisdictions other than New Zealand.
Our records indicate that on the Record Date you will not be eligible to participate in the Rights Issue, and you will not receive a copy of the Offer Document and Entitlement and Acceptance Form for the Rights Issue.
