CHANGES TO BOARD OF DARK BLUE SEA LIMITED & INCREASE IN PHOTON INTEREST
Changes to Board
Dark Blue Sea Limited ( DBS ) wishes to announce a number of changes to its board. Vernon Wills, Joseph Ganim and Richard Moore have each resigned as directors of DBS and will be replaced by Matthew Bailey and Mark Dalgleish. Greg Platz will remain as a director of DBS. The board changes are effective today.
Additionally, Duncan Cornish has resigned as the Secretary of DBS and Lee Taylor has been appointed as the Secretary of DBS, with effect from today.
Matthew Bailey has been the CEO and a Director of Photon Group since 2004. Mark Dalgleish is the Managing Director of Photon Group’s Internet & E-Commerce division and the Executive Chairman and founder of Photon subsidiary, C4 Communication, one of Australia’s largest digital agencies.
Photon increases interest to 80.20%
Photon Group Limited ( Photon ) announced earlier today that as a result of acceptances of the takeover offer Photon now has a relevant interest in 80.20% of the issued shares in DBS. The Photon takeover offer will close on 14 December 2009, unless extended or withdrawn in accordance with the Corporations Act. Accordingly, if you intend to accept Photon’s takeover offer you will need to do so by 7.00pm (Sydney time) Monday 14 December 2009.
The Directors of DBS have recommended that DBS shareholders accept the Photon offer in the absence of a superior offer.
