In accordance with the authority given by the Company's Articles of Association and with the provisions of the Capital Markets Board's Communiqué on Debt Securities (VII-128.8), our Board of Directors have decided on issuance of green debt securities for a total amount up to TL 20,000,000,000 (twenty billion Turkish Lira) denominated in Turkish Lira, with various maturities up to 7 (seven) years, to be sold to domestic qualified investors without public offering, and in one or more times; in this context, to make an application to the Capital Markets Board for the approval of the issuance certificate; if the application is approved, in relation to the relevant issuances to be made within one year as of the approval date and subject to these limitations, it has been decided to authorize the company management for determining all conditions, making all the necessary applications to the relevant authorities for the arrangement of the contracts, and conducting all necessary procedures.
