Subscription for convertible notes by Energy World International Limited in an aggregate principal amount of US$25,000,000
On 29 May 2014, Energy World Corporation Ltd ( Company ) announced that it had received an offer of finance from Energy World International Limited ( EWI ) by way of subscription for convertible notes in an aggregate principal amount of US$25,000,000 with a coupon of 2.5%, a five year maturity date and a conversion price of AU$0.50 cents per Ordinary Share ( Notes ) (the EWI Transaction ). EWI is a related party to the Company and the Company obtained shareholder approval to enter into the transaction documents relating to the EWI Transaction at the Company's Annual General Meeting held on 21 November 2014.
The Company is pleased to announce that on 19 December 2014 the Company entered into a Subscription Agreement with EWI in respect of the issue by the Company of the Notes and completed the issue of the Notes to EWI. Details of the EWI Transaction, the transaction documents under which the Notes were issued, the rights and liabilities attaching to the Notes and the effect of the issue of the Notes on the capital structure of the Company as a consequence of the EWI Transaction, are set out in the accompanying Cleansing Notice.
The net proceeds from the issue of the Notes are to be used for the Company’s Philippines business and for general corporate purposes of the Company.
