Purchase of business

Energy Technologies Limited (ASX:EGY) announces that it has entered into a contract to purchase the company Bambach Wires and Cables Pty Ltd (‘Bambach’).

Bambach was established in 1936, and is a manufacturer of specialist and industrial cables. It has its head office and factory in Sydney, and branches in Newcastle, Brisbane and Melbourne. The entry into the contract follows a period of due diligence and negotiation previously announced to the market.

EGY will purchase the shares of Bambach for a price which includes a fixed component of $A1m paid on completion, a further component based on the working capital of the business at completion and paid over the ensuing three years, and a further component based on the performance of the business in the years following the purchase. EGY estimates that the total purchase price will be approximately $A3.5m dollars paid over 3 years.

Settlement of the contract for the purchase of Bambach is subject to some conditions precedent, and is expected to take place on 2 July 2012.

EGY does not expect to make any changes to the staff of Bambach, except that it has appointed Mr Ralph Stevens to be the General Manager of the company. Mr Stevens will focus on growing the sales revenue of Bambach by increasing the company’s presence in the Mining, Energy and Defence markets.

EGY considers that the purchase of Bambach will be cash flow and earnings accretive from the time of purchase. The purchase is a further step in the strategic plan of EGY, as previously announced by the Chairman, Mr Martin Thomas.

EGY has worked closely with Bambach’s current Chief Executive, Mr Bill Gale, who is a member of the family which founded this long-standing Australian business. EGY looks forward to taking Bambach to further success in the future.
