Approval for AGM extension

Energy Technologies Limited (EGY) announces that the Australian Securities and Investments Commission (ASIC) has granted an extension of time to EGY to hold its Annual General Meeting for the 2013 financial year. By notice given 28 November 2013, ASIC extended the period within which EGY must hold its AGM from 30 November 2013 to 5 December 2013.

Section 250N of the Corporations Act 2001 (Act) requires a public company to hold its AGM within five calendar months after the end of its financial year. EGY’s financial year ends on 30 June each year. Section 250P of the Act permits a public company to lodge an application with ASIC to extend the period within which section 250N requires the company to hold an AGM.

On 31 October 2013, EGY made an application to ASIC under section 250P to extend the period within which EGY is required to hold its AGM. EGY made the application on the basis that the company was, during late October, finalising arrangements for a significant fund-raising which will require shareholders’ approval. The finalisation of the arrangements for the fund-raising, and the arrangements for shareholders’ approval, delayed the issue of the notice calling EGY’s AGM until after a time when it would have been possible to hold the meeting by 30 November 2013. EGY wished to seek its shareholders’ approval to the fund-raising at its AGM to avoid the costs of calling an additional meeting shortly after it.

The extension of the period to hold its meeting was required in order to permit EGY to comply with the requirements of section 250N of the Act. The extension granted by ASIC requires EGY to hold its AGM within the extended period.

EGY will hold its AGM on 5 December 2013, in accordance with notices already given.
