Energiekontor AG is to take over 55% of L&L Rotorservice Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– Energiekontor AG is to take over 55% of L&L Rotorservice Bremen, 30. November 2001. The Board of Managing Directors and the Supervisory Board of Energiekontor AG, Bremen, Germany, have passed the necessary resolutions to take over 55% of L&L Rotorservice, based in Hipstedt near Bremerhaven, Germany. A corresponding agreement between the two companies has been signed this afternoon. L&L Rotorservice is a market leader for the service and repair of wind turbines. Its customers consist of a large number of wind farm operators which use nearly all major turbine makes and types. L&L Rotorservice has five German Service- resp. repair centres as well as subsidiaries in Portugal and Spain. In both countries Energiekontor AG is currently developing large wind farm projects. The investment in L&L Rotorservice supplements the current business activities of Energiekontor-Group and will intensify the already existing cooperation between both firms. All in all, the acquisition of an interest in L&L Rotorservice will further enlarge Energiekontor’s value chain while enabling both parties to use synergies and lower costs. The price for the takeover will be paid in shares of Energiekontor AG from the authorised capital approved at the Annual General Meeting on the 23rd of August for contribution in kind. Thus, the share capital of Energiekontor AG will be increased from EUR 15,591,588 by EUR 58,922 to EUR 15,650,510, by this move. As customary on capital increases for contribution in kind, the granting of pre- emptive subscription rights to existing shareholders is excluded according to Art. 186 (3) AktG (German Stock Corporation Act).
