DIRECTOR/ PDMR Shareholding

London, 21 January 2019 - Energean Oil and Gas plc (LSE: ENOG, TASE: אנאג (, the London Premium Listed FTSE 250 and Tel Aviv Listed TA-90 E&P company with operations offshore Israel, Greece and the Adriatic, wishes to disclose the following transactions by persons discharging managerial responsibilities ("PDMRs") and persons closely associated with them ("PCAs").

As described in the Admission Prospectus, on 30 June 2017, as part of the restructuring of the Group in preparation for Admission, the Company agreed to issue 174,138 ordinary shares to HIL Hydrocarbon Investments Limited ("HIL"), a company controlled by Efstathios Topouzoglou, and Capital Energy Investments Limited ("Capital"), a company controlled by Mathios Rigas, in consideration for the transfer of shares held by HIL and Capital, which represented the remaining 0.3% of the issued share capital of Energean E&P Holdings Limited ("the EEPHL Shares"). It was further agreed that this transaction would take place once certain security then in place over the EEPHL Shares had been discharged, with the EEPHL Shares being held on trust for the Company pending completion of the transaction.

The security over the EEPHL Shares has since been discharged and, accordingly, the EEPHL shares have been transferred from HIL and Capital to the Company and, on 16 January 2019, the Company duly issued 174,138 ordinary shares of 1p each as follows: 91,650 ordinary shares to HIL and 82,488 ordinary shares to Capital. Following completion of the transaction, the Company holds a direct interest in 100% of the issued share capital of EEPHL.
