Subject: Information on execution of the agreement to subscribe toPolimex-Mostostal S.A. shares issued as part of the share capitalincrease and on concluding the Polimex-Mostostal S.A. share purchasetransaction from SPV Operator sp. z o.o.

Body of the report:

In reference to the current report no. 5/2017 of 18 January 2017("Report"), the Management Board of ENERGA SA ("Company") hereby reportsthat on 20 January 2017, after the satisfaction of the conditionsprecedent set forth in the investment agreement signed on 18 January2017 ("Investment Agreement"), the Company accepted an offer made by thePolimex Mostostal S.A. ("Polimex") management board to subscribe inprivate subscription to 37,500,000 series T common bearer shares with apar value of PLN 2 each issued by Polimex at the issue price of PLN 2per each and for the total issue price of PLN 75,000,000.

The Company additionally reports that on 20 January 2017, in performanceof the agreement executed with SPV Operator sp. z o.o. ("SPV Operator"),after the conditions precedent set forth in the Investment Agreementwere satisfied, the Company acquired 1,500,000 Polimex shares from SPVOperator.
