The Management Board of Energa SA ("Company_quot;) informs that on 17 June2024 the majority shareholder of the Company, ORLEN S.A., submitted astatement informing that - pursuant to Article 385 § 2 of the PolishCode of Commercial Companies and § 17 section 3 of the Company'sArticles of Association - as of the beginning of 18 June 2024 itappointed Mr. Ireneusz Jan Fąfara to the Company's Supervisory Board ofjoint term of office. Mr. Ireneusz Fąfara will perform the function ofthe Company's Supervisory Board Member without remuneration.

Mr. Ireneusz Fąfara - Member of the Supervisory Board of Energa SA

Expert with excellent knowledge of the fuel sector and the challengesrelated to the energy transformation. The President of the ManagementBoard of ORLEN S.A. since 11 April 2024. Practitioner of managing largeorganizations and multi-billion projects. From 2010 to 2017 he wasassociated with ORLEN Group. As President of the Management Board ofORLEN Lietuva he reformed the company and brought the Ma_#382;eikiai refineryto profitability. He worked out agreements and ended long-standingdisputes related to logistics. He significantly increased ORLENLietuva's sales in export markets. He has knowledge of the specifics ofthe ORLEN Group and the processes taking place within it. He has heldtop management positions in large public and private companies since thelate 1990s. Member of the supervisory boards: Rockbridge TFI 2018 - 2024resigned on the day of his appontment as President of the ManagementBoard of ORLEN S.A., PKO BP 2009-2010, LOTOS 2009-2010, Export CreditInsurance Corporation 2007 - 2009, Kompania Węglowa 2003 - 2005,National Health Fund 2005-2008, Energy Market Agency 1997-1998.President of the Management Board of Bank Gospodarstwa Krajowego2007-2009 and Vice-President of the Management Board of the SocialInsurance Institution 1998-2007. Graduate of the Cracow University ofEconomics.

Mr. Ireneusz Fąfara is not engaged in any form of business activitycompetitive to Energa SA, does not participate in a competitive companyor partnership, as a partner of a civil law partnership, a partnershipor as a member of a company body and does not participate in any othercompetitive legal person as a member of its body as well as he is notlisted in the Register of Insolvent Debtors maintained under theNational Register Court Act.
