The Management Board of Energa SA (the "Company") hereby providesinformation on the Member of the Management Board of the Companyappointed on 5 May 2020 by the Supervisory Board of the Company to theManagement Board of the 6th term of office of Energa SA as of 7 May 2020.

Ms. Iwona Waksmundzka-Olejniczak – Vice President of the ManagementBoard of Energa SA for Corporate Affairs

Ms. Iwona Waksmundzka-Olejniczak has long-standing experience inmanaging large teams and corporate structures, in particular in the oil& gas and banking sectors. She has an in-depth knowledge of the rules ofthe capital market, corporate governance, management of large projectsas well as building and implementing company strategies.

She joined PKN ORLEN S.A. in February 2018, first as director of theInvestor Relations Office, and since February 2019 as executivedirector, strategy and investor relations, where her responsibilitiesinclude the development and implementation of the PKN ORLEN strategy andsupervision over the implementation of strategic projects, preparationand execution of investment projects and divestitures, as well as thedesign and execution of the information policy and relationships withcapital market participants.

In 2016-2017, as a director of successive departments at Bank OchronyŚrodowiska S.A., she supervised the bank’s private banking andsubsequently corporate banking business. From 2013 to 2016, as brandmanager at Plus Bank S.A., she was responsible for the creation, designand execution of the marketing strategy and external communicationpolicy. In 2002-2012, she worked for Invest Bank S.A., where she managedthe sales network, was responsible for the development of the productrange, design and execution of the bank’s strategy, supervised theimplementation of external communication policy, and managed key accountrelationships, in the following successive positions: retail bankingmanager, marketing and analysis manager and brand manager. From 2001 to2002 she was the key account manager at ComputerLand. In 1998-2001 sheworked for Bank Współpracy Europejskiej, where she was responsible forkey account relationships.

She is a graduate of the Cracow University of Economics (Management andMarketing) and the University of Insurance and Banking in Warsaw(Finance and Banking). She holds an Executive MBA diploma awarded by theUniversity of Commerce and Services in Poznań. She also completed apostgraduate Project Management programme at the Warsaw School ofEconomics. She is certified as a Financial Adviser by the EuropeanFinancial Planning Association. She completed a wide range of coursesand trainings in the field of financial market and managerial skills.

She serves on the supervisory boards of UNIPETROL, a.s., ORLEN UpstreamSp. z o.o. and is the Vice Chairperson of the Supervisory Board atBaltic Power sp. z o.o. She was also a member of the Supervisory Boardof ORLEN Centrum Usług Korporacyjnych Sp. z o.o.

Ms. Iwona Waksmundzka-Olejniczak is not engaged in any form of businessactivity competitive to Energa SA, does not participate in a competitivecompany or partnership, as a partner of a civil law partnership, apartnership or as a member of a company body and does not participate inany other competitive legal person as a member of its body as well asshe is not listed in the Register of Insolvent Debtors maintained underthe National Register Court Act.
