Refresh Group Secures New Investor

Refresh Group Limited (Refresh) is pleased to announce that on 20 June 2012 it entered into a Share Allotment Agreement with Mr Richard Tan pursuant to which Refresh will allot 10 million ordinary shares in Refresh to Mr Tan at $0.03 per share. Upon acceptable due diligence and receipt of funds, Refresh will issue the shares to Mr Tan who will hold an interest of 10.4% of the share capital.

As part of the Agreement, Refresh will also seek shareholder approval at the next general meeting to the issue of options at increasing prices to Mr Tan and/or his nominees. This will be over a period of 3 years. If fully exercised, additional capital of up to another A$1.1 million will be raised. The total allotment of shares and options represents 29.8% of the enlarged share capital, assuming no other shares are issued.

Refresh intends to use the funds to grow its business and to supplement working capital. With the funding plan in place, the Company could focus on growth and create value for shareholders.

Mr Tan is an experienced company director and successful investor and entrepreneur. On completion of the share issue, Mr Tan will take on the role of Advisor to Refresh to assist the management in its business processes and strategic planning.

Another brand of bottled water marketed by the company is Sunshower Springs . This premium spring water is available for home and office deliveries in Brisbane, Sunshine Coast, Gold Coast and Sydney.
