New Funds for Refresh
We refer to our announcement of 20 April 2010 regarding the acquisition of AridTec Pte Ltd (AridTec). The vendors of AridTec will receive 71,800,000 shares in Refresh Group Ltd (Refresh) with the potential to receive up to a further 48,200,000 shares upon the achievement of certain profit milestones. The deemed price of the Refresh shares to be issued to the AridTec vendors is 6.5 cents per share.
Refresh is also pleased to announce that it has entered into a Subscription Agreement with Mr Yong Wei Por whereby Mr Por will subscribe for 7,692,308 Refresh shares at 6.5 cents each. Mr Por has invested in Refresh on the basis of its potential for growth following the acquisition of AridTec.
Whilst shareholders’ approval is not required for the issue of the shares to Mr Por , the Board of Refresh has decided to present the investment to shareholders for voting at the general meeting to be convened for the approval of the acquisition of AridTec.”
