Subject: Changes in the composition of the Enea S.A. Supervisory Board

Body of the report:

The Management Board of Enea S.A. ("Company") hereby reports that on 13February 2025 the Extraordinary General Meeting of Enea S.A. adoptedresolutions by the power of which Ms. Monika Bartoszewicz and Mr. MichałKempa were appointed to the Company's Supervisory Board of the 11th termof office as of the same date.

Below the Company provides information on the education, qualificationsand positions held previously by the aforementioned persons along with adescription of their professional careers and other required information.

Ms. Monika Bartoszewicz:

As a certified auditor, she participated in the process of listing ofshares on the Warsaw Stock Exchange and was responsible for the audit offinancial statements of companies listed on the Warsaw Stock Exchange,such as PKN Orlen S.A., CIECH S.A., AMBRA S.A., PKP CARGO S.A., BIOTONS.A., FERRUM S.A., FERRO S.A., Grupa Azoty Zakłady Chemiczne PoliceS.A., MLP Group S.A., POLENERGIA S.A., PROCHEM S.A., ULMA CONSTRUCCIONPOLSKA S.A.

Within the Audit Committee Institute she prepared the topics for themeetings of Audit Committee and Supervisory Board members, including interms of cooperation with the auditor, risk map, Audit Committeeagendas, etc.

During her tenure as Head of the Audit Department from 2014 to 2019,KPMG was ranked No. 1 as "The Best Audit Firm" in the Rzeczpospolita andParkiet rankings.

According to her representation, Ms. Monika Bartoszewicz does notconduct any activity in any form that would compete with that carriedout by Enea S.A., nor does she participate in any competing company as apartner in a civil or commercial law partnership or as a member of agoverning body in a company, nor does she participate in any competinglegal person as member of its governing body.Ms. Monika Bartoszewicz isnot listed in the Register of Insolvent Debtors kept pursuant to theNational Court Register Act.

Mr. Michał Kempa:

Mr. Michał Kempa graduated in economics from Nicolaus CopernicusUniversity in Toruń, Poland, and later earned a doctorate in economicsfrom the Swedish School of Economics and Business Administration (nowHanken School of Economics) in Helsinki.

He has extensive experience in regulatory impact analysis with aparticular focus on energy sector regulation. From 2016 to 2024, heworked as a Senior Manager at Ernst _amp; Young Law Zakrzewska i Wspólnicy,where he led a team of analysts and managed projects on energy marketregulation and support for energy-intensive industries. Previously, heheld management positions in public administration - among others, hewas Deputy Director of the Regulatory Impact Assessment Department inthe Prime Minister's Office (2012-2016), where he oversaw assessments ofregulatory impact on the economy and public finances. He participated inthe development of the auction support system for renewable energysources.

From 2009 to 2012, he worked at the Ministry of Finance as Head of theMacroeconomic Analysis Department, dealing with, among other things, thepension system and macroeconomic forecasts. He gained internationalexperience at the National Bank of Finland, the European Central Bankand AOL Time Warner in London.

He was a member of the Supervisory Board of Korporacja UbezpieczeńKredytów Eksportowych S.A. (2012-2016), serving as chairman of the auditcommittee, and the Supervisory Board of the Social Security Institution(ZUS) (2011-2012). He is fluent in English and speaks German at acommunicative level.

According to his representation, Mr. Michał Kempa does not conduct anyactivity in any form that would compete with Enea S.A., nor does sheparticipate in any competing company as a partner in a civil orcommercial law partnership or as a member of a governing body in acompany and she does not participate in any competing legal person asmember of its governing body. Mr. Michał Kempa is not listed in theRegister of Insolvent Debtors kept pursuant to the National CourtRegister Act.
