The Management Board of ENEA S.A. ("Company") hereby reports that on 13March 2023 the Extraordinary General Meeting of ENEA S.A. adopted aresolution by the power of which

Ms. Aleksandra Agatowska was appointed to the Company's SupervisoryBoard of the 11th term of office as of the same date.

Below the Company provides information on Ms. Aleksandra Agatowska'seducation, qualifications and positions held prior as well as adescription of her professional career.

Ms. Agatowska is a manager with extensive experience in the finance andinsurance sectors. Since 2016, she has served as a Management BoardMember at PZU Życie S.A. - at first as an ordinary Member and sinceFebruary 2021 as President of the Management Board. She has also servedas Supervisory Board Chairwoman at Alior Bank S.A. and PZU Zdrowie S.A.and Supervisory Board Member at PZU Centrum Operacji S.A. and TUW PZUWS.A. Prior to these roles, she acquired her professional experience incompanies of the ING Group, HDI (currently: Warta), Sony Europe andPhilips S.A., where she headed the Marketing and Business Intelligenceteam covering over a dozen countries in the region. She has alsocollaborated with the Center for Public Policy Evaluation and Analysisat the Jagiellonian University. She graduated from the Faculty ofSociology at the Jagiellonian University in Kraków. She has completednumerous management programs in the fields of strategy, management andfinance at prestigious educational institutions, including ColumbiaUniversity, the London School of Economics and Political Science and theNorthwestern Kellogg School of Management. She holds an Executive MBAdegree obtained from Kozminski University.

According to her representation, Ms. Aleksandra Agatowska does notconduct any activity in any form that would compete with ENEA S.A., nordoes she participate in any competing company as a partner in a civil orcommercial law partnership or as a member of a governing body in acompany and she does not participate in any competing legal person asmember of its governing body. Ms. Aleksandra Agatowska is not listed inthe Register of Insolvent Debtors kept pursuant to the National CourtRegister Act.
