The Management Board of ENEA S.A. ("Issuer") hereby reports that on 20April 2022 the Issuer's Supervisory Board adopted a resolution toappoint Mr. Paweł Majewski, effective as of 25 April 2022, to theposition of Acting President of the ENEA S.A. Management Board for thejoint term of office commenced on the date of holding the OrdinaryGeneral Meeting of ENEA S.A. which approved the financial statements for2018.

Hereinbelow, the Issuer provides information on the education,qualifications and positions held previously by Mr. Paweł Majewski alongwith a description of his professional career.

Mr. Paweł Majewski graduated from the Faculty of Law and Administrationof the Jagiellonian University and completed postgraduate ExecutiveMaster of Business Administration (MBA) studies at the Warsaw ManagementUniversity.He is an executive with extensive experience in managingcommercial companies, including enterprises with an equity stake held bythe State Treasury. Until 8 April 2022, he served as President of thePolskie Górnictwo Naftowe i Gazownictwo S.A. Management Board.Previously, he held the positions of President of the Grupa LOTOS S.A.Management Board, Vice-President of the Huta Stalowa Wola S.A.Management Board, Management Board Member at DO _amp; CO Poland Sp. z o.o.and President of the Airport Cleaning Service Sp. z o.o. ManagementBoard. He has also acquired extensive professional experience inmanagerial positions, including at PETROLOT Sp. z o.o. (currently: ORLENAviation Sp. z o.o.) and as the Director of the Variable Margin andProduction Management Division at PGNiG TERMIKA S.A.

Moreover, according to his representation, Mr. Paweł Majewski serves asa Supervisory Board Member at Polski Holding Nieruchomości S.A. andS.G.T. EUROPOLGAZ Sp. z o.o., but does not conduct any activity in anyform that would compete with ENEA S.A., nor does he participate in anycompeting company as a partner in a civil or commercial law partnershipor as a member of a governing body in a company and he does notparticipate in any competing legal person as member of any of itsgoverning bodies. Mr. Paweł Majewski is not listed in the Register ofInsolvent Debtors kept pursuant to the National Court Register Act.
