The Management Board of ENEA S.A. ("Company") hereby reports that on 16September 2022 the Company received a statement from the Minister ofState Assets that the Minister exercised his powers to appoint a memberof the ENEA S.A. Supervisory Board pursuant to § 24 sec. 1 of theCompany's Articles of Association.
Based on the said powers, Mr. Łukasz Ciołko was appointed to theCompany's Supervisory Board as of today.
Mr. Łukasz Ciołko graduated from the Faculty of Law and Administrationof the University of Warsaw. He also completed postgraduate studies inpublic administration management at the Kozminski University in Warsaw.
He obtained the right to discharge the function of a supervisory boardmember in companies with State Treasury shareholding by passing anexamination for candidates for supervisory board members before anexamination committee appointed by the minister in charge of stateassets.
He embarked on his managerial career by running his own business. Since2015, he has served in public administration roles. He was a boardmember of the Ursynów District in Warsaw and deputy director of theDepartment of Intellectual Property and Media at the Ministry of Cultureand National Heritage, and he currently serves as deputy director of theDepartment of Fuel and Power Companies at the Ministry of State Assets.He regularly improves his professional competences by participating innumerous training courses on corporate finance, law and management.
In his current official role, he deals with the exercise of ownershiprights in companies with State Treasury shareholding and withcoordination of the transition process of Poland's power sector.
According to his representation, Mr. Łukasz Ciołko does not conduct anyactivity in any form that would compete with ENEA S.A., nor does heparticipate in any competing company as a partner in a civil orcommercial law partnership or as a member of a governing body in acompany and he does not participate in any competing legal person asmember of its governing body. Mr. Łukasz Ciołko is not listed in theRegister of Insolvent Debtors kept pursuant to the National CourtRegister Act.
