The Management Board of ENEA S.A. ("Company") hereby reports that on 19March 2020 the Extraordinary General Meeting of the Company adoptedresolutions, by the power of which the following persons were appointedto the Supervisory Board of ENEA S.A. of the 10th term, effective on thesame date:

- Ms. Izabela Felczak-Poturnicka, who was at the same time appointedChairwoman of the Company's Supervisory Board;

- Mr. Mariusz Fistek.

Below the Company provides information on the education, qualificationsand positions held prior and a description of professional career of theappointees.

Ms. Izabela Felczak-Poturnicka received a degree in Economics from theLazarski University in Warsaw. She then completed a PhD course inManagement and Finance and postgraduate studies in company valuationmethods at the Warsaw School of Economics.

She has 15 years of professional experience, among others with corporategovernance in companies with State Treasury shareholding and capitalmarket transactions. She currently serves as the Head of the CorporateGovernance Department at the Ministry of State Property. Prior to thatengagement, she was Deputy Director at the Prime Minister's Office. In2016 and 2018 she was delegated to act as the President of ManagementBoard of Polski Holding Nieruchomości S.A.

She is the Chairwoman of the Supervisory Board of Polski HoldingNieruchomości S.A. She also sat on the Supervisory Boards of, amongothers: PKN ORLEN S.A., Jastrzębska Spółka Węglowa S.A., ZEW NiedzicaS.A., MERAZET S.A., Z.Ch. ZACHEM S.A. and MERITUM BANK ICB S.A.

She is a Member of the Centre for Information and Organization ofResearch on Public Finances and Tax Law in Central and Eastern EuropeCountries operating at the Faculty of Law of the University of Białystokand a member of two expert teams at the Corporate Governance ReformCommittee. She is the Deputy Chairwoman of the Commission examiningapplications to approve employment of former public officials. Winner ofthe Lazarski Diamonds competition.

According to her representation, Ms. Izabela Felczak-Poturnicka does notconduct any activity in any form that would compete with ENEA S.A., nordoes she participate in any competing company as a partner in a civil orcommercial law partnership, or as a member of a governing body in acompany and she does not participate in any competing legal person asmember of its governing body. Ms. Izabela Felczak-Poturnicka is notlisted in the Register of Insolvent Debtors kept pursuant to theNational Court Register Act.

Mr. Mariusz Fistek is a legal counsel, member of the Circuit Chamber ofLegal Counsel in Warsaw and of the Professional Conduct Commission ofthe Circuit Chamber of Legal Counsel in Warsaw. Att. Fistek is agraduate of the Executive Master of Business Administration (MBA) coursefrom Apsley Business School of London and the Warsaw ManagementUniversity. He graduated from the Faculty of Law and Administration ofthe University of Warsaw. He completed the Center for American LawStudies, which is a joint initiative of the Law Faculty of the stateUniversity of Florida and the Faculty of Law and Administration of theUniversity of Warsaw. In 2011 he completed the Master in Law and ITcourse at the Stockholm University focused on international law andinformation technology, earning the LL.M. degree. Attorney Fistek is aregistered arbiter of the Court of Arbitration at the ConsultingEngineers and Experts Association (SIDiR) and a registered SIDiRmediator. He conducts coaching workshops and courses for postgraduatestudents, law community and management staff.

Since 2014, Att. Mariusz Fistek has been employed as a legal counsel atthe Legal and Corporate Governance Department of Poczta Polska S.A. Healso represents businesses and individuals in civil law andadministrative law proceedings before courts and state authorities,advises on construction law, energy law, liability for damages. He hasexperience in proceedings before the Court of Arbitration at the PolishChamber of Commerce. He specializes in economic law and civil lawdisputes. He has participated in numerous conferences in Poland andinternationally (among others in the Working Group of the United NationsCommission on International Trade Law UNCITRAL in New York).

According to his representation, Mr. Mariusz Fistek does not conduct anyactivity in any form that would compete with ENEA S.A., nor does heparticipate in any competing company as a partner in a civil orcommercial law partnership, or as a member of a governing body in acompany and he does not participate in any competing legal person asmember of its governing body. Mr. Mariusz Fistek is not listed in theRegister of Insolvent Debtors kept pursuant to the National CourtRegister Act.
