Body of the report:

The Management Board of ENEA S.A. ("Company", "Issuer") hereby reportsthat on 27 May 2020 the Company received statements from the Minister ofState Assets that on the same date the Minister exercised his powers todismiss and appoint a member of the ENEA S.A. Supervisory Board pursuantto § 24 sec. 1 of the Company's Articles of Association.

According to the said statements, the Minister of State Assets, inexercise of the powers conferred on him, dismissed, effective as of 27May 2020, Mr. Bartosz Nieścior from the Company's Supervisory Board and,at the same time, appointed Mr. Paweł Szczeszek to the Company'sSupervisory Board.

Below the Company provides information on the education, qualificationsand positions held previously by the new Supervisory Board Member alongwith a description of his professional career.

Mr. Paweł Szczeszek graduated from the Faculty of Mechanical Engineeringand Computer Science and the Faculty of Management of the CzęstochowaUniversity of Technology. He also completed post-graduate studies indiplomacy.

From December 2018 to 26 May 2020, he served as President of theManagement Board of Zespół Elektrociepłowni Wrocławskich KOGENERACJA SA.In 2017-2018, he worked as Vice-President of the Management Board ofPGNiG Termika Energetyka Przemysłowa S.A. From 2016 to August 2017, heserved as President of the Management Board of PrzedsiębiorstwoEnergetyki Cieplnej S.A. in Jastrzębie-Zdrój. Earlier, he worked asVice-President of the Management Board of the Regional DevelopmentAgency in Częstochowa, where he executed over a dozen projectsco-financed with EU structural funds.

He also gained his professional experience in public administration andPrzedsiębiorstwo Państwowe "Porty Lotnicze" Sp. z o.o., where he wasresponsible for overseeing the assets of the Warsaw Okęcie airport. Hehas participated in a number of conferences devoted to power sector andenvironmental issues, including the 55th UN Plenary Session on ClimateChange.

He has obtained a diploma from the State Treasury Minister confirminghis passing of an examination for candidates for members of supervisoryboards in State Treasury-owned companies. He has sat on the supervisoryboards of the following companies: Wojewódzkie Przedsiębiorstwo RobótDrogowych w Katowicach Sp. z o.o., Agencja Rozwoju Regionalnego wCzęstochowie S.A., Radomskie Przedsiębiorstwo Energetyki Cieplnej S.A.,SEJ-Serwis sp. z o.o., Jelcz sp. z o.o. and Geotermia Podhalańska S.A.

According to his representation, Mr. Paweł Szczeszek does not conductany activity in any form that would compete with ENEA S.A., nor does heparticipate in any competing company as a partner in a civil orcommercial law partnership or as a member of a governing body in acompany and he does not participate in any competing legal person asmember of any of its governing bodies. Mr. Paweł Szczeszek is not listedin the Register of Insolvent Debtors kept pursuant to the National CourtRegister Act.
