Sub.: Update on merger of wholly-owned step down subsidiaries of the Company in Italy

Ref.: Regulation 30 read with Part A of Schedule III to the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

Dear Sir / Madam,

This is in continuation to the intimation given by the Company on 31[st] July, 2025 regarding the proposed merger of Endurance Engineering S.r.l, Italy and Endurance S.p.A, Italy (“Transferor companies”), wholly-owned step down subsidiaries of the Company, with Endurance Castings S.p.A, Italy (“Transferee company”), another wholly-owned step down subsidiary of the Company.

We further inform, pursuant to Regulation 30 of the Listing Regulations, that the requisite regulatory approval for the aforesaid merger has been received from the Italian Chamber of Commerce. Effective Date of the merger is 1[st] January, 2026 with appointed date being 1[st] April, 2025.

Further, as a part of the aforesaid restructuring, the name of Endurance Castings S.p.A shall be changed to Endurance S.p.A., from the Effective Date.
