Sub.: Update on increase in equity shareholding by the Company in Maxwell Energy Systems Private Limited

Ref.: Regulation 30 read with Part A of Schedule III to the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

Dear Sir / Madam,

This is in continuation to the intimation filed by the Company on 8[th] May, 2025 regarding the Share Purchase Agreement (“SPA”) executed with minority shareholders of Maxwell Energy Systems Private Limited (“Maxwell”) to, inter alia, acquire balance 38.50% stake (i.e. 52,749 equity shares of face value Re. 1 each).

We hereby inform that the Company has remitted the agreed total amount of Rs. 75,009,078 (Rupees Seventy Five Million Nine Thousand and Seventy Eight only) towards purchase consideration for the remaining equity stake in Maxwell, in terms of the SPA. Accordingly, the minority shareholders have transferred all rights, title, interest and benefits in 52,749 equity shares of Maxwell to the Company with effect from 16[th] May, 2025.

Consequently, Maxwell has become a wholly-owned subsidiary of the Company.
