Notice under ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547

This notice is given by Encounter Resources Limited (ASX: ENR) ( Company ) under ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547 ( ASIC Instrument 2019/547 ).

On 29 November 2024, the Company announced an intention to undertake a share purchase plan ( SPP ) of fully paid ordinary shares in the capital of the Company ( SPP Shares ). An SPP offer booklet will be made available to eligible shareholders later today.

The Company gives notice that:

• (a) the Company will make offers to issue the SPP Shares under the SPP without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Act );

• (b) this notice is being given in accordance with ASIC Instrument 2019/547;

• (c) as at the date of this notice, the Company has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • (ii) section 674 of the Act; and

• (d) as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Act, as if this notice was a notice under paragraph 708A(5)(e) of the Act.

The Company also confirms that, as at the date of this notice, the Company has complied with section 674A of the Act.
