Pursuant to the Reporting Person's deferral election, the shares underlying the RSUs were paid on June 9, 2011, the effective date of the Reporting Person's resignation as a director of the Company. As a managing director of J.C. Flowers & Co. UK Ltd. ("JCF Ltd."), an affiliate of J.C. Flowers & Co. LLC ("JCF LLC"), the Reporting Person is party to an assignment agreement pursuant to which he was required to transfer, and did so transfer, such shares to JCF LLC upon payment thereof.
F2: Reflects shares of Encore's common stock held by JCF LLC. The Reporting Person is a managing director of JCF Ltd., an affiliate of JCF LLC, and through this pecuniary interest in an affiliate of JCF LLC, the Reporting Person may be deemed to be the beneficial owner of these shares.
