Transaction in Own Shares

Empresaria, the global specialist staffing group, announces that on 3 December 2021 it transferred 176,173 of its ordinary shares of £0.05 each ("Ordinary Shares") held by the Company as treasury shares to the Empresaria Employee Benefit Trust ("EBT"). The Company intends that Ordinary Shares held by the EBT will be used to satisfy the exercise of options vested under the Company's Long Term Incentive Plans.

Following the above transaction, the Company has 49,853,001 Ordinary Shares in issue, none of which are held by the Company as treasury shares. Therefore, the total number of voting rights in the Company is 49,853,001.

The above figure of 49,853,001 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
