RECEIPT OF NOTICE PURSUANT TO SECTION 203D OF THE CORPORATIONS ACT 2001

The Board of Empire Resources Limited (“the Company”) wish to advise that it received on 31 August 2018 a notice from Tyson Resources Pty Ltd and Kesli Chemicals Pty Ltd under section 203D of the Corporations Act (Cth) (“Notice”) of their intention to move resolutions at a meeting of Empire Resources Limited shareholders as follows:

Resolution 1: "Mr David Sargeant be removed as a director of the Company." Resolution 2: "Mr Lee Christensen be removed as a director of the Company." Resolution 3: "Mr Christopher Banasik be removed as a director of the Company." Resolution 4: "Mr Brett Fraser be removed as a director of the Company."

According to a change of substantial notice lodged 21 August 2018 by Mr Michael Ruane, Tyson Resources Pty Ltd and Kesli Chemicals Pty Ltd combined have voting power of 42,547,652 shares, or approximately 8.81%.

At this stage, Tyson Resources Pty Ltd and Kesli Chemicals Pty Ltd have not:

• lodged with the Company a notice under either of section 249D or section 249F of the Corporations Act; and

• confirmed the identity of any proposed replacements for those directors.

Consequently the Company at this stage cannot confirm the timing of calling a general meeting of Empire Resources Limited shareholders.

The Company is currently taking legal advice in relation to the validity of the Notice and the Company will keep shareholders advised of any material developments.
