Board Restructure
Empire Resources Ltd (“Empire” or the “Company”) advises that following the resignation of Non-Executive Directors Messrs Chris Banasik and Brett Fraser, the Company wishes to announce the appointment of Dr Michael Ruane, who will become Chairman of the Company, and Mr Jeremy Atkinson a Non-Executive Director, effective immediately.
Dr Michael Ruane
Dr Michael Ruane holds BSc and PhD qualifications in chemistry from UWA and has been involved in the mining and chemical industries for over 35 years. Dr Ruane has been responsible for the listing or development of numerous Public Companies including Metaliko Resources Ltd (merged with Echo Resources Ltd 2017 (ASX: EAR)), lntermin Resources Ltd {ASX: IRC), Reward Minerals Ltd {ASX: RWD), Haddington Resources Ltd (now Altura Mining Limited (ASX: AJM) and Wedgetail Exploration Ltd (now Millennium Minerals Ltd (ASX: MOY).
Dr Ruane is currently an executive Director of Reward Minerals Ltd.
Mr Jeremy Atkinson
Mr Jeremy Atkinson is a qualified CPA (Australia), professionally trained in project financial modelling. In the past six years Mr Atkinson has specialised professionally in the construction of financial models for mining projects in Australia, Africa, Europe and South America and is very conversant with commercial terms and cost parameters associated with mining and processing of a range of mineral commodities including gold. He also holds a degree in modern languages from Oxford University and speaks English, French and German languages fluently. Prior to his involvement in the mining industry Mr Atkinson spent 18 years in senior strategic and operational positions in the development and turnaround of various international manufacturing businesses.
Section 249D
In light of these appointments the requisition notice under Section 249D of the Corporations Act received from Tyson Resources Pty Ltd and Kesli Chemicals Pty Ltd to remove the existing Board of Directors will be withdrawn.
Following these appointments, and the withdrawal of the notice, the Company will continue to address the Company’s business strategy in the coming months.
