Şirketimiz ile Fenerbahçe Spor Kulübü ve Akfin Gayrimenkul Değerlendirme A.Ş. arasında imzalanan İş Birliği Protokolü kapsamında, İstanbul Ataşehir Kayışdağı 'nda bulunan taşınmaz üzerinde geliştirilecek "Arsa Satışı Karşılığı Gelir Paylaşımı İşi" ihalesinin 2. oturumu 30.12.2025 t arihinde saat 14:00'da gerçekleştirilmiştir.İhale komisyonu huzurunda yapılan oturumda, istekliler tarafından verilen teklifler değerlendirilmiş olup, gelen en yüksek teklif aşağıda yer almaktadır:

Arsa Satışı Karşılığı Satış Toplam Geliri: 9.261.000.000 TL

Arsa Satışı Karşılığı Şirket Payı Gelir Oranı : %40

Arsa Satışı Karşılığı Şirket Payı Toplam Geliri: 3.704.400.000 TL

Söz konusu proje kapsamında Arsa Sahipleri ile imzalanan protokol hükümleri uyarınca; ihalede elde edilen Arsa Satışı Karşılığı Şirket Payı Toplam Geliri'nin %80'i Arsa Sahiplerine, %20'si ise Şirketimize ait olacak şekilde paylaşım esasları belirlenmiştir.İhaleye katılan istekliler ve teklif detayları ekli listede sunulmuştur. Tekliflerin değerlendirme süreci devam etmekte olup, ihalenin sonuçlanmasını müteakip kamuoyu ayrıca bilgilendirilecektir.

The second session of the tender for "Istanbul Ataşehir Kayışdağı Revenue Sharing Model Project in Return for Land Sale " which will be developed on the land located in Istanbul Ataşehir Kayışdağı within the scope of the Cooperation Protocol signed between our Company and Fenerbahçe Spor Kulübü ve Akfin Gayrimenkul Değerlendirme A.Ş., was held on 30.12.2025 at 14:00.

In the session held before the Tender Committee, the offers submitted by the bidders were evaluated, and the highest offer received is as follows:

Total Sales Revenue in Return for Land Sale TRY 9.261,000,000

Company Revenue Share Ratio in Return for Land Sale: 40 %

Company Total Revenue Share in Return for Land Sale TRY 3,704,400,000.

In accordance with the provisions of the protocol signed with the Land Owners within the scope of the said project; the sharing principles have been determined such that 80% of the Company Share Total Revenue in Return for Land Sale obtained in the tender shall belong to the Land Owners, and 20% to our Company.

The list of bidders participating in the tender and the details of their offers are presented in the attached list. The evaluation process of the offers is ongoing, and the public will be informed separately following the conclusion of the tender.

In accordance with the Turkish capital markets regulations, in case of any discrepancy between the Turkish and English versions of disclosures, the Turkish language version which is published on the Public Disclosure Platform (Kamuyu Aydınlatma Platformu) shall prevail.
