OPTION ISSUE

The Board of Emerald Resources NL ( EMR or Company ) wishes to advise that it has issued 20 million unlisted $0.025 EMR options, exercisable on or before 21 January 2020 to employees and consultants as part of the incentive component of their remuneration packages.

The exercise price of the options represented a 20% premium to the 30 day VWAP of EMR shares at the time offer letters were sent to the employees and consultants on or about 19 December 2014. The options are subject to vesting conditions which restrict exercise of 50% of the options until 24 months from the date the employee or consultant was appointed and the remaining 50% until 36 months from their appointment date.

It is the EMR Board’s view that such options are an effective tool to attract and incentivise high quality personnel and help to align the long term interests of management and shareholders.

The options have been issued in accordance with the Company’s Employee Option Plan as approved by shareholders on 27 November 2014. No director or director related entity has been the recipient of these options.

The terms and conditions of the options and Appendix 3B to reflect the option issue are attached.

Terms and Conditions of $0.025 Emerald Resources NL Options

  1. Definitions:

  2. (i) ASX Listing Rules means the official listing rules of ASX Limited;

  3. (ii) Company means Emerald Resources NL (ACN 009 795 046).

  4. (iii) Corporations Act means Corporations Act 2001 (Cth) of Australia.

  5. (iv) Exercise Price means the exercise price of each EMR Option, being $0.025.

  6. (v) Expiry Notice means 5.00pm (Perth time) 5 years from the date of issue of the EMR Option.

  7. (vi) Exercise Notice means the form prescribed by the Company from time to time for the purpose of exercising EMR Options.

  8. (vii) Share means a fully paid ordinary voting share in the capital of the Company.

  9. (viii) EMR Option means an option to subscribe for a Share at the Exercise Price prior to the Expiry Date in the manner set out in these Terms and Conditions.

  10. (ix) EMR Option Holder means the person or persons registered as the holder of one or more EMR Options from time to time.

  11. Each EMR Option carries the right to subscribe for one Share.

  12. Each EMR Option is unlisted and is transferable subject to any restrictions on transfer imposed by ASX.

  13. Subject to any restrictions imposed by ASX on the exercise of EMR Options, EMR Options may be exercised by the EMR Options Holder by delivering to the Company’s registered office or the Company’s share registry an Exercise Notice at any time prior to the Expiry Date.

  14. Each Exercise Notice must state the number of EMR Options to be exercised and be accompanied by the relevant holding statement(s), if any, and payment (in Australian currency) to the Company of an amount (the Application Monies ) being the result of the Exercise Price multiplied by the number of EMR Options being exercised.

  15. Following receipt of a properly executed Exercise Notice and Application Monies in respect of the exercise of any EMR Options, the Company will issue the resultant Shares and deliver notification of shareholdings.

  16. Subject to any restrictions imposed by ASX, the Company will make application to have the Shares (issued pursuant to an exercise of EMR Options) listed for quotation by ASX within 7 days of the date of issue.

  1. Subject to any restrictions imposed by ASX, Shares issued pursuant to an exercise of EMR Options shall rank, from the date of issue, pari passu with existing Shares in all respects.

  2. EMR Options carry no right to participate in pro rata issues of securities to shareholders unless the EMR Options are exercised before the record date for determining entitlements to the relevant pro rata issue.

  3. Each EMR Option Holder will be notified by the Company of any proposed pro rata issue of securities to shareholders in accordance with ASX Listing Rules.

  4. In the event of a reorganisation (including reconstruction, consolidation, subdivision, reduction, or return) of the capital of the Company, the terms of the EMR Options will be changed to the extent necessary to comply with the requirements of the Corporations Act and ASX Listing Rules (in force at the time of the reorganisation).

  5. Except as noted in paragraph 11 above, a EMR Option does not confer the right to a change in exercise price or a change in the number of underlying securities over which the EMR Option can be exercised.

  6. Any unvested options will lapse upon cessation of employment or termination of services agreement and any vested options will lapse if not exercised within 3 months of the cessation of employment or termination of services agreement. The options will fully vest in the event of a change of control event or at the Board’s discretion.

Quotation agreement
