Dear Renaissance shareholder,

EMERALD RESOURCES NL’S OFF-MARKET TAKEOVER OFFER FOR RENAISSANCE MINERALS LIMITED – EXTENSION OF OFFER PERIOD AND PROCEEDING TO COMPULSORY ACQUISITION

Emerald Resources NL (ACN 009 795 046) has resolved to extend the offer period under its off-market takeover offer for all ordinary shares in Renaissance Minerals Limited (ACN 141 196 545) ( Renaissance ) that it does not already own ( Offer ).

The Offer was originally scheduled to close at 5:00pm (WST) on 26 September 2016 and is now scheduled to close at 5:00pm (WST) on 30 September 2016 unless otherwise extended. A formal notice of variation required by the Corporations Act 2001 (Cth) is enclosed.

Additionally, as recently announced, the Company has acquired a relevant interest in 90.37% of the fully paid ordinary shares in Renaissance and as a result, Emerald can now proceed to compulsorily acquire any Renaissance shares not accepted into the Offer.

Emerald expects to send compulsory acquisition notices during the week commencing 26 September 2016.
