NOTIFICATION OF CLEARANCE

Re: Emera Incorporated - SEDAR Project #3288275

In accordance with section 4.3 of Companion Policy 71-101CP to National Instrument 71-101 The Multijurisdictional Disclosure System , a Notification of Clearance is hereby issued in respect of the registration statement on Form F-10 of Emera Incorporated dated October 14, 2021 relating to the offering by Emera US Finance LP to exchange new US$300,000,000 0.833% Senior Notes due 2024 (the “New 2024 Notes”) and US$450,000,000 2.639% Senior Notes due 2031 (the “New 2031 Notes,” and together with the New 2024 Notes, the “new notes”), which have been registered under the Securities Act of 1933 as amended, for the currently outstanding US$300,000,000 0.833% Senior Notes due 2024 (the “Old 2024 Notes”) and US$450,000,000 2.639% Senior Notes due 2031 (the “Old 2031 Notes,” and together with the Old 2024 Notes, the “old notes”). The old notes are, and the new notes will be, fully and unconditionally guaranteed by Emera Incorporated, a Nova Scotia company, and Emera US Holdings Inc., a Delaware corporation, on a joint and several basis, subject to customary release provisions as set forth in the indenture dated June 16, 2016 between Emera US Finance LP, Emera Incorporated, Emera US Holdings Inc., and American Stock Transfer & Trust Company, LLC, as supplemented by a first supplemental indenture dated June 16, 2016 and a second supplemental indenture dated June 4, 2021.
