Sub: Board Meeting to be held on February 3, ²⁰²² to consider ^a proposal for buyback of equity shares.

Further to our intimation letter dated January 15, 2022, intimating about the meeting of the Board of Directors ('the Board') of the Company scheduled to be held on February 3, ²⁰²² inter-alia, to consider, approve and take on record the Unaudited Standalone and Consolidated financial results for the quarter and nine months ended 31st December, ²⁰²¹ along with the Limited Review Report of the Auditors for the corresponding period and proposal for declaration of 2nd Interim Equity Dividend for the Financial Year 2021-22, it is hereby further informed that the Board at its aforesaid meeting will also consider, interalia, ^a proposal of buy back of the fully paid-up equity shares of the Company including matters related/incidental thereto in accordance with the provisions of Section 68, 69, and ⁷⁰ of the Companies Act, 2013, read with rules made thereto and SEBI (Buy-back of Securities) Regulations, 2018, as amended.

As communicated earlier vide our intimation letter dated January 15, 2022, the Trading Window for dealing in shares of the Company is closed till the end of ⁴⁸ hours after the declaration of financial results for the quarter and nine months ended December 31, 2021. Consequently, the trading window will remain closed till February 5, 2022.
