Dear Sir.

We are pleased to inform you about the completion of the transaction between the Emami Group ("Emami") and Nuvoco Corporation Limited ("NVCL") for the divestment of its 100% equity stake in Emami Cement Limited ("Emami Cement") for an enterprise value of INR 5500 crores.

The deal was completed with the transfer of 100% of Emami Cement shares to NVCL by Emami Group today, 14th July, 2020.
