transaction, the rights and obligations of the Company and its shareholders, and the procedures involved in the event that any party fails to fulfill the obligations it has stipulated in the transaction	transfer 80% of Downtown District Cooling Plant LLC and in return National Central Cooling Company P.J.S.C. (Tabreed) shall pay 2.48 BN AEDs to Emaar Properties (P.J.S.C).
