Pursuant to Regulations 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, ("Listing Regulations"), we wish to inform you that the Board of Directors of the Company at its meeting held on Wednesday, 18th March, 2020 inter alia has considered the following items and decided to seek the approval of the Shareholders by way of postal Ballot in due course.

1. Increase the authorized Capital from 5 Crores to 500 Crores.

2. Amendment of the Capital Clause of the Memorandum of Association.

3. Adoption of New set of Articles of Association as per the Companies Act, 2013.

4. Increasing the borrowing powers under Section 180 (1) (c) of the Companies Act, 2013 up to 1000 Crore.

5. Authorisation under Section 180(1 )(a) of the Companies Act, 2013.
